Purpose
The purpose of this agreement is to define the rights and obligations between the user (hereinafter referred to as the ‘User’ or 'You') of CameraFi Service, including CameraFi Live, CameraFi Studio, and CameraFi Shopping services(hereinafter referred to as the ‘Service’, or ‘Application’) and the provider of ‘Service’, Vault Micro, Inc. (hereinafter referred to as the ‘Company’, or ‘Vault Micro’) with its registered office address at 2F, 41, Hangang-daero 62-gil, Yongsan-gu, Seoul, Korea. These Terms of Use consist of the terms and conditions below together with the terms set out in the CameraFi Privacy Policy (as may be amended from time to time). Please ensure that you keep up to date with any changes.
Disclaimer of warranties; Limitation of liability
CameraFi Service is provided on an “as is” and “as available” basis. We make no warranty and disclaim all responsibility and liability for the availability, timeliness, security, reliability, quality of CameraFi Service, any related software or application, or other products, services, information obtained through CameraFi Service. We have no responsibility or liability for the deletion of, or the failure to store or to transmit, any content and other information maintained or transmitted by CameraFi Service. We are not responsible for the accuracy or reliability of any information or advice transmitted through CameraFi Service. We may, at any time, limit your use or discontinue CameraFi Service at our sole discretion. To the extent legally permitted, in no event shall we be liable for any losses or damages whatsoever. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitation or exclusion may not apply to you. In no event shall our total liability to you exceed the amount actually paid by you (if any) for CameraFi Service and related software.
Conclusion of the Integrated Service Agreement
1. The User shall agree to these Terms of Use by registering with CameraFi and making an application for use. If the Company accepts the User's application, the agreement is concluded.
2. The Company generally accepts the User's application for use. However, the Company may refuse to accept or postpone acceptance of the application if any of the following apply. If it is determined that the User has violated the following conditions and joined the Service, the Company may immediately suspend the User's use of the Service or restrict the User's access to the CameraFi account:
1) The User has lost User eligibility under these Terms of Use, except in cases where the Company has granted the User's re-registration.
2) The User attempts to join the Service using someone else's name, email address, or other personal information.
3) The User provides false information or fails to provide the information requested by the Company.
4) The User applies for approval in violation of any other provisions or terms specified.
3. When making an application as per Paragraph 1, depending on the User's type, the Company may request real-name verification and personal identification through a specialized agency.
4. The Company may postpone acceptance if there is a lack of equipment related to the Service, or if there are technical or operational issues.
5. The time of conclusion of the service agreement shall be the time indicated by the Company on the application completion process.
6. The Company may differentiate usage time, usage frequency, service menus, etc. by classifying Users according to the Company's policies.
Publication and revision of user agreement
The ‘Company’ shall publish this on the settings page of the service so that the Users can easily access the contents of this agreement. The Company may revise this Agreement within a boundary that does not infringe on related acts.
In the case that the ‘Company’ revises the agreement,
the Company shall specify the effective date and the reason for the revision
from seven (7) days before the effective date. If the revision is likely to
negatively affect the Users, the Company shall clearly notify them of it within
a given period of time via the notification popup.
If the ‘Company’ announces or notifies
Users of the revised agreement that they will be deemed to have consented to
the amendment if they do not make expression of opposition within seven (7)
days from the date of the announcement or notice, and if the Users still did
not show their intent to oppose, the Users will be deemed to have accepted the
revised agreement. If the Users do not agree with it, and the ‘User’ may terminate the
agreement by deleting the Application.
Modifications to the service and prices
Prices and/or fees for
our Service are subject to change without notice. We reserve the right at any
time to modify or discontinue the Service (or any part or content thereof)
without notice at any time. We shall not be liable to you or to any third-party
for any modification, price change, suspension, or discontinuance of the
Service.
1. CameraFi Live purchase
The Service includes the Google In-app subscription purchase and App Store In-app purchase to use the premium features. The Company accepts payment via the payment method indicated prior to the user's purchase. You must have a valid, accepted payment method on file to purchase Paid Services or to participate in no-cost trial offers or other no-cost offers related to the Paid Services. You agree to pay for any Paid Service that you order. The Company will charge your payment method for the price listed for the relevant Paid Service, along with any additional amounts relating to applicable taxes, bank fees, and currency fluctuations. If you purchase an automatically renewing Paid Service subscription, you agree that the Company will charge the payment method on file on the first day of each billing period for the subscription. If the payment method on file becomes invalid due to an expired credit card or another reason, preventing the Company from charging you for the next billing period, you may not be able to access the applicable Paid Service until you update your payment method. When you purchase a Paid Service, you may transact with a third-party or affiliate platform (e.g., Apple, Google Play). In these cases, the platform will charge your payment method and be responsible for managing any issues with your payment, including refunds. A monthly/annual subscription plan, any In-App payment made from the pertinent device shall be deemed to have obtained the consent of such User’s legal representative. A User shall be responsible to make In-App payments faithfully.
2. CameraFi Shopping purchase
The payment policy for the CameraFi Shopping service is subject to the terms and conditions of CameraFi Shopping.
3. CameraFi Studio purchase
The Company accepts payment via the payment method indicated prior to the user's purchase. You must have a valid, accepted payment method on file to purchase Paid Services or to participate in no-cost trial offers or other no-cost offers related to the Paid Services. You agree to pay for any Paid Service that you order. Refund
1. CameraFi Live refund
CameraFi Live may give
refunds for subscription purchases, depending on the Google
Play Refund Policies or App Store Refund Policies.
The User may request a refund
of the subscription within 7 days from purchase, and such
withdrawal is restricted if it is made after the 7-day period expires or is
otherwise restricted by the applicable laws and regulations. Any Service with
restrictions on a subscription application withdrawal shall be indicated as
such on a pop-up or linked screen.
Note: You can only
request for a refund once. If you purchase it again, you will not able to get a
refund.
2. CameraFi Shopping refund
The refund policy for the CameraFi Shopping service is subject to the terms and conditions of CameraFi Shopping.
3. CameraFi Studio refund
CameraFi Studio may give refunds for some subscription purchases, depending on the Google Play Refund Policies or App Store Refund Policies.
The User may request a refund of the subscription within 7 days from purchase, and such withdrawal is restricted if it is made after the 7-day period expires or is otherwise restricted by the applicable laws and regulations. Any Service with restrictions on a subscription application withdrawal shall be indicated as such on a pop-up or linked screen.

Charges
You are responsible for payment of any
costs or expenses incurred as a result of downloading and using CameraFi Live,
including any operator network and roaming charges. Please check with your
service provider for details.
Publication of advertisements
We may publish ‘Company’ or a third party’s ads in ‘Application’.
Intellectual property rights and warranties
The copyright of the
Service (source code of program, executable file and UI/UX, inserted image,
other works regarding program) belongs to the Vault Micro, and the User has the
right of using it with permission under this agreement. However, the User shall
have no rights regarding Application.
The User is responsible
for the results of distributed video, audio, and data (hereinafter referred to
as the ‘Video’) via ‘Application’. The ‘User’ has rights for approval and license in order to send out ‘Videos’. The ‘User’ may check whether ‘Videos’ sent out via ‘Application’ conform to related laws
or regulations, and may also check if the Video violates a specific country’s related laws or regulations, or the rights of others. In
particular, when the ‘User’ inserts a ‘Video’ to shows, the User shall always check if the ‘Video’ violates the copyright
or the rights of a third party prior to the distribution. However, the ‘User’ may bear the legal
responsibilities due to violating related laws and regulations, and the ‘Company’ shall have no legal
responsibility for the contents of the ‘Video’ that is distributed via ‘Application’.
Third-party applications, services, or sites
CameraFi may enable you to link or connect
you to use functionalities of third-party applications, services or sites that
are not owned or controlled by Vault Micro. (collectively “Third-party Applications”). Any Third-party Applications are subject to the terms and
conditions of the relevant third-party provider.
Vault Micro has no control over and is not responsible or liable for any
matters relating to your dealings or transactions with such third parties and
over any third-party content, syndicated content, applications, services,
sites, advertisements, links, privacy policies and/or practices of any such
third-parties that may be accessible via CameraFi Live. It is your
responsibility to check the privacy policies and terms of service and usage of
all third-party sites that you visit prior to
downloading or using any such Third-party Applications.
Complaints, claims, concerns, or questions regarding third-party products
should be directed to the third-party.
Third-party API usage
CameraFi Live utilizes API
of third-party platforms like YouTube, Facebook, and Twitch. By connecting any
account to CameraFi Live, you agree to terms of use and privacy policy of the
corresponding media or social network platform.

Some content may not be available in your
local language.
Reverse engineering
Reverse Engineering: You agree not to
disassemble, de-compile, reverse engineer, or otherwise attempt to gain access
to the source code of CameraFi Live. You will not copy any part of CameraFi
Live or make commercial use of, rent, lease, loan, sell, publish, license,
sublicense, distribute, assign or otherwise transfer any part of CameraFi Live
to any third party.
Protecting your personal information
We want to help you take all the necessary
steps to protect your privacy and information. Therefore, please read the
relevant CameraFi
Live Privacy to understand what kind of information we gather from any CameraFi
Live Mobile Application and the specific measures we take to protect your
personal information.
Errors, inaccuracies, and omissions
Occasionally there may be
information on our site or in the Service that contains typographical errors,
inaccuracies or omissions that may relate to descriptions, pricing, promotions,
offers, and availability. We reserve the right to correct any errors,
inaccuracies or omissions, and to change or update information or cancel orders
if any information in the Service or on any related website is inaccurate at
any time without prior notice (including after you have submitted your order).
We undertake no
obligation to update, amend or clarify information in the Service or on any
related website, including without limitation, pricing information, except as
required by law. No specified update or refresh date applied in the Service or
on any related website, should be taken to indicate that all information in the
Service or on any related website has been modified or updated.
Indemnification
You agree to indemnify,
defend and hold harmless Vault Micro, Inc. and our parent, subsidiaries,
affiliates, partners, officers, directors, agents, contractors, licensors,
service providers, subcontractors, suppliers, interns and employees, harmless
from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your
breach of these Terms of Service or the documents they incorporate by
reference, or your violation of any law or the rights of a third-party.
Severability
In the event that any
provision of these Terms of Use is determined to be unlawful, void or
unenforceable, such provision shall nonetheless be enforceable to the fullest
extent permitted by applicable law, and the unenforceable portion shall be
deemed to be severed from these Terms of Use, such determination shall not
affect the validity and enforceability of any other remaining provisions.
Termination
If a user withdraws from the CameraFi account, the Integrated Service Usage Agreement will also be automatically terminated.
If a user wishes to terminate the Integrated Service Usage Agreement, they may apply for termination through the CameraFi customer center (support@vaultmicro.zendesk.com), and the Company will promptly process it in accordance with applicable laws and regulations.
When the Integrated Service Usage Agreement is terminated, all data, including the user's information and postings, will be deleted within the Service.
When the Integrated Service Usage Agreement is terminated, the user's data will be stored for a certain period of time in accordance with applicable laws and the CameraFi Privacy Policy and then deleted.
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
If in our sole judgment, you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
Jurisdiction and governing law
The agreement shall
follow the Republic of Korea Law, and any kind of lawsuit regarding this
agreement will be subject to the jurisdiction of a competent court by following
the Civil Proceedings Act. Any claim or dispute between you and CameraFi Live
that arises in whole or in part from the Terms of Use, the Websites or any
Contest shall be decided exclusively by a court of competent jurisdiction
located in Seoul, South Korea.
Entire agreement
The failure of us to
exercise or enforce any right or provision of these Terms of Use shall not
constitute a waiver of such right or provision.
These Terms of Use and
any policies or operating rules posted by us on this site or in respect to The
Service constitutes the entire agreement and understanding between you and us
and govern your use of the Service, superseding any prior or contemporaneous
agreements, communications and proposals, whether oral or written, between you
and us (including, but not limited to, any prior versions of the Terms of
Service).
Any ambiguities in the
interpretation of these Terms of Service shall not be construed against the drafting
party.
